(Wikipedia)

Kraft in Talks to Finance US$8 Billion for Cadbury Bid ----- Bloomberg (9 Sep 09)
China Must Save the World"作為看好港股的"Infallable logic"。
What's Next?

What's Next?
What's Next?

Goldman Sachs Posts Record Profit, Beating Estimates (Update1)
(Bloomberg; 14 Jul 09)
July 14 (Bloomberg) -- Goldman Sachs Group Inc. posted record earnings that beat analysts’ estimates as revenue from trading and stock underwriting reached all-time highs less than a year after the firm took $10 billion in U.S. rescue funds.
Second-quarter net income was $3.44 billion, or $4.93 a share, the New York-based bank said today in a statement. That surpassed the $3.65 per-share average estimate of 22 analysts surveyed by Bloomberg and compared with $2.09 billion, or $4.58 per share, in last year’s second quarter.
Chief Executive Officer Lloyd Blankfein made Goldman Sachs the highest-paying Wall Street firm in history before last year’s credit freeze led him to convert to a bank, accept government funds and report the first quarterly loss as a public company. This year Goldman Sachs has issued new stock, repaid the U.S. Treasury and reaped fees from selling stocks and bonds.
“Goldman’s got a sweet spot in here, they were the go-to players,” said Peter Sorrentino, a senior portfolio manager at Huntington Asset Advisors in Cincinnati, which oversees $13.8 billion including Goldman shares, before earnings were released. “For the time being, they’ve got kind of an open playing field all to themselves.”
Goldman Sachs, the fifth-biggest U.S. bank by assets, climbed 77 percent in New York Stock Exchange trading this year to close yesterday at $149.44. That’s almost triple the low of $52 on Nov. 20. The stock was at $149.81 today.

若然以「Bottom-Up」或者是「Peers Analysis」的角度看,滙控的表現是合格的,尤其是當閣下用放大鏡檢視「Bank of America」、「Citigroup」及「Royal Bank of Scotland」的財政狀況、經營版圖、以及前景。

RBS: GBP1.76 (2 Oct, 08) --> GBP0.21 (10 Mar, 09); Return = -88.1%
Price to 2011 Earnings = 10x to 14x --> Target Price: HK$77.8 - HK$108.9
Price to 08 Reported Equity = 0.8x to 1.2x --> Target Price: HK$48.1 - HK$72.2
Price to 08 Tangible Equity = 0.6x to 0.9x --> Target Price: HK$25.5 - HK$38.3

(Financial Times; 11 Mar 09)
若然以「Bottom-Up」或者是「Peers Analysis」的角度看,滙控的表現是合格的,尤其是當閣下用放大鏡檢視「Bank of America」、「Citigroup」及「Royal Bank of Scotland」的財政狀況、經營版圖、以及前景。

Price to 2011 Earnings = 10x to 14x --> Target Price: HK$77.8 - HK$108.9
Price to 08 Reported Equity = 0.8x to 1.2x --> Target Price: HK$48.1 - HK$72.2
Price to 08 Tangible Equity = 0.6x to 0.9x --> Target Price: HK$25.5 - HK$38.3

(Financial Times; 11 Mar 09)

HSBC Seeks Higher Asia Share as Competitors Retrench (Update2)
(Bloomberg; 3 Mar 09)
March 3 (Bloomberg) -- HSBC Holdings Plc, the bank that's raising 12.5 billion pounds (US$17.6 billion) in a stock sale, can take market share in Asia without acquisitions as bailed-out competitors retrench, said the head of HSBC's regional unit.
"Organically we can grow as our competitors withdraw, we can put our capacity to work so that means you don't have to be quick to buy something to do that," Sandy Flockhart, HSBC's chief executive officer for Asia-Pacific, said in an interview today. The bank is still open to making acquisitions in markets including China and South Korea, he said.
Competitors including Royal Bank of Scotland Plc, Citigroup Inc. and Bank of America Corp. are under pressure to lend more in their home markets and reverse years of international expansion after accepting government bailouts. HSBC, founded in Hong Kong and China more than 140 years ago, hasn't taken any state funds, freeing it of such restrictions.
"We're a big powerhouse in emerging markets," Flockhart said. "Our profit generation in the last couple of years have been in emerging markets and that's where our real strength is.'
Shares of HSBC, which yesterday announced a 70 percent drop in full-year profit on losses arising from its U.S. consumer lending unit, fell the most in more than two decades in Hong Kong today. The stock tumbled 19 percent to HK$46.25, the lowest since October 1998.
Government Pressure
U.K. Prime Minister Gordon Brown said last week he plans to pressure lenders that have received government aid to focus more on helping domestic small businesses and families.
Northern Rock Plc would focus on mortgage lending in the U.K., offering 14 billion pounds of additional mortgages this year and in 2010, while RBS and National Westminster Bank Plc will provide financing to small firms, according to Brown's plan.
Citigroup last week revamped its 15-member board with a majority of new independent members in a U.S. government-induced shakeup. The move signals that banks may have to operate under heavier government influence if they resort to taxpayer-funded rescue packages.
Even as Asian economies cool and bad loans rise, governments probably won't have to take control of banks, said Flockhart, 57.
"At this moment in time Asia looks like it'll steer clear of" nationalizing banks, he said. "We're coming towards perhaps the bottom of the cycle and not seeing that happening. A lot of the Asian banks' capital ratios are very strong."
Korea, China
HSBC in September scrapped a US$6 billion plan to buy Korea Exchange Bank from Lone Star Funds after the global credit crisis slashed asset values. The withdrawal was the group's second failure in three years to expand through takeovers in the country.
Flockhart declined to say whether HSBC is still in talks with the bank. Korea Exchange Bank has raised 770 billion won (US$496 million) since November by selling subordinated bonds.
HSBC, which earns about 75 percent of its profit from emerging markets, plans to add between 10 and 15 branches to its network in mainland China, said Flockhart. It currently has 79 branches in the country, the most among overseas banks.
The bank has no plans to change its investment in Chinese financial companies, including a 19.9 percent stake in Bank of Communications Ltd., Flockhart said. Foreign lenders including RBS and UBS AG last year sold their shares in Bank of China Ltd. to raise cash as the global financial crisis deepened.

HSBC May Use Rights Offer Money to Fund Takeovers (Update1)
(Bloomberg; 3 Mar 09)
March 3 (Bloomberg) -- HSBC Holdings Plc, Europe's biggest bank, may use part of the 12.5 billion pounds (US$17.7 billion) it's raising in a rights offering to fund acquisitions in Asia and other emerging markets.
Europe's biggest bank by market value will pursue "opportunities" for growth, including takeovers, Chairman Stephen Green told journalists at a press conference in London yesterday. "They are more likely to be bolt-on or incremental acquisitions" in emerging markets, he said.
HSBC may be interested in Royal Bank of Scotland Group Plc's assets in Asia. Edinburgh-based RBS, which last week posted the biggest loss by a U.K. company, plans to abandon or sell retail and commercial banking operations in 13 Asian countries, including the Philippines and Vietnam.
"Asia seems to be HSBC's natural hunting ground for acquisitions," said Mamoun Tazi, an analyst at MF Global Securities Ltd. in London. "If they find something of interest in Asia that's at the right price, they may consider buying."
A spokesman for HSBC in London declined to comment on whether HSBC plans to bid for RBS's Asian assets. The shares fell 1.6 percent, or 6.5 pence, to 392.5 pence at 10:03 a.m. in London today.
"Organically, we can grow as our competitors withdraw, we can put our capacity to work so that means you don't have to be quick to buy something to do that," Sandy Flockhart, HSBC's chief executive officer for Asia-Pacific, said in an interview today in Hong Kong. The company is still open to making purchases in markets such as China and South Korea, he said.
Retreating Home
HSBC abandoned a US$6 billion purchase of Korea Exchange Bank on Sept. 19 after failing to persuade Dallas-based owner Lone Star Funds that the global financial crisis justified a reduction in price.
RBS spent about US$140 billion during the past decade on takeovers in the U.S., Asia and Europe, buying up part of ABN Amro Holding NV of the Netherlands in 2007; a 5 percent stake in Bank of China Ltd. in 2005; and Cleveland-based Charter One Financial Inc. in 2004. Former CEO Fred Goodwin's 14.3 billion- euro (US$19 billion) acquisition of ABN Amro led to half of its record writedowns this year.
While RBS, New York-based Citigroup Inc. and Bank of America Corp. in Charlotte, North Carolina, are under pressure to lend more in their home markets after accepting government bailouts, HSBC, founded in Hong Kong and China more than 140 years ago, hasn't taken any state funds, freeing it of such restrictions.
Emerging Markets Profit
"Our profit generation in the last couple of years has been in emerging markets and that's where our real strength is," Flockhart said.
Acquisitive companies will take their time before making offers, said Marco Boschetti, the London-based head of global mergers, acquisitions and restructuring at the Towers Perrin consulting firm. Last year's experience of "Express M&A," where companies chased "distressed deals" is gone, he said.
"Companies are now adopting the 'make haste slowly' mantra, enforced due diligence aimed at revealing the post-completion nightmare that sprung from last year’s deals," Boschetti said.
RBS's financial adviser, Morgan Stanley, is preparing to send sales documents to potential buyers. The bank has said it may sell consumer and commercial banking operations in countries ranging from India and Pakistan to Vietnam and the Philippines.
Goodwin's replacement as CEO, Stephen Hester, has already sold RBS's stake in Beijing-based Bank of China, raising US$2.3 billion in January. The company scrapped the 5 billion-pound sale of its Churchill and Direct Line insurance operations last month.

「HSBC has not sought capital support from the UK government and cannot envisage circumstances where such action would be necessary.」
「HSBC has long been one of the world's most strongly capitalised banks and is committed to maintaining this position.」
從客觀的營運角度看,匯控有很大機會維持「One of the world's most strongly capitalised banks」的地位,即使美國業務(HSBC Finance)並不如意:
「a meeting of Directors of HSBC Holdings plc will be held on Monday, 2 March 2009 to consider the announcement of the final results for the year ended 31 December 2008 and a fourth interim dividend for 2008.」
(Prudence, and of having deep pockets and short arms)」。

(Prudence, and of having deep pockets and short arms)。

(Financial Times; 9 Feb 09)

BNP Paribas
JP Morgan
HSBC

(Central Bank Financing)
(Fixed Deposit)
(Interbank Deposit)
(Senior / Subordinated Bond)
(Preferred Stock)
(Common Stock)
「Economic growth within the key core markets of Asia, Africa and the Middle East is clearly slowing down largely as a consequence of the global financial crisis and the sharp economic slowdown in the West. However, although these economies are not immune to the challenges and uncertainties emerging from the global financial crisis, in general their economic and financial fundamentals are resilient and their near term economic growth rates appear likely to remain well above those of markets in the West.」
「Following the Rights Issue, the Group will be in an even better position to weather the economic uncertainties and take advantage of the opportunities emerging from the current turmoil in financial services.」
「The Board is alert to the prospect of continuing volatility in the currency and financial markets and to the increased levels of economic uncertainty across all sectors and geographies.」
Loan-to-Deposit Ratio: 86% (30 Sep 08)
Tier 1 CAR: 8.50% (30 Jun 08)
Total CAR: 14.9% (30 Jun 08)
Reported NAV/share: HK$115
Tangible NAV/share: HK$75

Standard Chartered Plans US$3 Billion Rights Offer
(Bloomberg 24 Nov 08)
Standard Chartered Plc, the third- biggest U.K. bank, plans to raise 1.8 billion pounds (US$2.7 billion) in a rights offer to bolster its finances as the global economic recession deepens.
The London-based bank is offering 30 new shares for 91 already held to existing shareholders at 390 pence each, or a 48.7 percent discount to the last closing price, according to a statement to Hong Kong's stock exchange today.
"The bank is taking a precautionary stance against a potentially much worsened economic scenario," said Wong Kwok Wai, a Hong Kong-based analyst at BOC International Holdings Ltd. "A rights offer is a better arrangement to strengthen their capital ahead of a potential slowdown. There's a dilutive effect, but in the long run it puts the bank in a better position."
Standard Chartered, which gets more than three-quarters of its profit in Asia, hasn't faced the funding pressures of other U.K. banks including HBOS Plc, which are relying on the government for cash in a bailout package worth 37 billion pounds (US$55 billion). Banks and brokerages worldwide have raised $830 billion since the subprime-mortgage market's collapse last year.
Standard Chartered declined 5.3 percent to HK$89 as of 12:30 p.m. in Hong Kong, compared with a 1.2 percent decline for the benchmark Hang Seng Index. The stock closed at 759 pence in London on Nov. 21.
Capital Strength
Temasek Holdings Pte, Singapore's state-owned investment company and the biggest shareholder in the bank with 18.8 percent, will take up its rights in the offer according to the statement.
Standard Chartered may need US$3.2 billion by year-end to lift its core Tier 1 ratio, a measure of capital strength, to 8 percent, from 6.1 percent, according to a Merrill Lynch & Co. report on Oct. 20. Capital-raising by banks in the U.K., Switzerland, and the U.S. are part of an "industrywide shift" toward higher capital levels for lenders, according to Merrill.
Standard Chartered has spent more than US$6.3 billion on purchases since the start of 2005 to expand in markets like Korea and Taiwan. The bank said earlier this month it will buy an Asian unit from JPMorgan Cazenove Ltd. to boost corporate banking services.
Standard Chartered said on Oct. 28 it has strong liquidity and is well capitalized with a "conservative" balance sheet, yet "it's clear that Asian economic growth is moderating."
The bank said last week it pushed back its hiring in Hong Kong, the biggest contributor to pretax income in the first half with a 25 percent share, as the city slipped into recession.
Standard Chartered has declined 59 percent in London trading in 2008, the second-best performer in the six-member FTSE 350 Banks Index, which is down 60 percent. The bank in August posted a 31 percent increase in first-half net income to US$1.79 billion, lifted by corporate lending in India and Hong Kong. The bank forecast "double-digit" growth in earnings per share this year.

I Will Be Back

(WSJ; 3 Oct 08)

Barclays (BARC.L): GBP 3.978 (+29.1%)
HBOS (HBOS.L): GBP 2.395 (+38.8%)
HSBC (HSBA.L): GBP 9.04 (+13.6%)
Lloyds (LLOY.L): GBP 3.225 (+35.8%)
Prudential (PRU.L): GBP 5.93 (+22.0%)
Schroders (SDR.L): GBP 11.32 (+17.1%)
Standard Chartered (STAN.L): GBP 15.73 (+17.6%)
